Liberty Kitchen and Bath
A DBA of All Blue Services, LLC
1. Agreement
These Terms and Conditions (“Agreement”) govern all services provided by Liberty Kitchen and Bath, a DBA of All Blue Services, LLC (“Company,” “we,” “us,” or “our”), to the client (“Customer,” “you,” or “your”).
By approving an estimate, signing a contract, or allowing work to begin, you agree to be bound by these Terms.
2. Scope of Work
All services will be outlined in a written estimate, proposal, or contract.
Any work not specifically listed is considered outside the scope
Changes must be approved in writing via a Change Order
Clear scope definition is essential in service agreements to avoid disputes and ensure expectations are aligned
3. Pricing & Payment Terms
A deposit may be required before work begins
Progress payments may be required depending on project size
Final payment is due upon completion
Invoices are due within 7–30 days unless otherwise stated. Late payments may incur:
Interest up to the maximum allowed by law
Suspension of work until payment is current
Payment structures like deposits, progress payments, and final balances are standard in construction agreements
4. Change Orders
Any changes to the original project must be:
Requested in writing
Approved by both parties
Priced accordingly
Additional work will not begin until the change order is signed.
5. Project Timeline
Estimated timelines are provided in good faith but may be affected by:
Material availability
Weather conditions
Customer delays
Unforeseen structural issues
We are not liable for delays outside our control.
6. Materials & Selections
Customer is responsible for timely selection of materials (cabinets, countertops, fixtures, etc.)
Delays in selections may delay the project timeline
Special-order materials are non-refundable
7. Access to Property
Customer agrees to provide:
Safe and reasonable access to the job site
Utilities (water, electricity) as needed
Failure to provide access may result in delays and additional charges.
8. Warranty
We provide a limited workmanship warranty:
Typically valid for 1 year from project completion
Covers defects in workmanship only
Does NOT cover:
Normal wear and tear
Manufacturer defects (covered by manufacturer)
Damage due to misuse, neglect, or external factors
Construction warranties should be clearly limited to avoid excessive contractor risk
9. Liability Limitation
To the fullest extent permitted by law:
We are not liable for indirect, incidental, or consequential damages
Our total liability is limited to the amount paid for services
Terms and Conditions commonly include liability limitations to protect businesses legally
10. Permits & Compliance
Unless otherwise stated:
Customer is responsible for permits
Work will comply with applicable local building codes
11. Cancellation & Termination
Customer may cancel before work begins (deposit terms may apply)
If canceled after work begins, Customer must pay for: Work completed Materials ordered Any non-recoverable costs
Contractors are typically entitled to recover reasonable costs upon cancellation
12. Clean-Up & Completion
We will:
Remove construction debris upon completion
Leave the site in a reasonably clean condition
13. Dispute Resolution
Any disputes shall be resolved through:
Good faith negotiation first
If unresolved, mediation or arbitration in the state where services were performed
14. Governing Law
This Agreement shall be governed by the laws of the state in which the work is performed.
15. Entire Agreement
This document, along with any signed proposal or estimate, represents the entire agreement and supersedes all prior discussions.
16. Severability
If any provision is found invalid, the remaining terms will still be enforceable.
17. DBA Disclosure
Liberty Kitchen and Bath is a doing business as (DBA) of All Blue Services, LLC, and all contracts are legally binding with All Blue Services, LLC.
18. Acceptance
By signing or approving services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
